Terms of Service

1. Agreement to Terms
By accessing or using Tabsy ("Platform"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you do not have permission to access the Platform.
These Terms apply to all visitors, users, merchants, and others who access or use the Platform.
2. Description of Service
Tabsy is a multi-merchant digital commerce infrastructure platform that provides:
- White-label ordering websites and mobile apps for food businesses
- Payment processing through Stripe Connect
- Delivery integration through Uber Direct
- Customer loyalty programs
- Order management and analytics
- Customer support services
3. Merchant Accounts
3.1 Account Registration
To use our Platform as a merchant, you must create an account and provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
3.2 Eligibility
You must be at least 18 years old and have the legal authority to bind your business to these Terms. By using our Platform, you represent and warrant that you meet these requirements.
3.3 Account Security
You are responsible for safeguarding your account. You agree to notify us immediately of any unauthorized use of your account or any other breach of security.
4. Fees and Payments
4.1 Platform Fee
Tabsy charges a 1% platform fee on every successfully processed order. This fee is charged to customers as part of the order total.
4.2 Subscription Fees
Certain features require a paid subscription. Subscription fees are billed in advance on a monthly or annual basis. All fees are non-refundable except as required by law.
4.3 Payment Processing
Payments are processed through Stripe Connect. You must complete Stripe's onboarding process and comply with Stripe's terms of service. Tabsy is not responsible for Stripe's actions or service availability.
4.4 Delivery Fees
Delivery fees charged to customers are retained by Tabsy to pay courier partners. You may configure additional delivery markups at your discretion.
4.5 Payouts
Merchant payouts are processed through Stripe Connect Express. Payout timing and methods are subject to Stripe's policies and your Stripe account settings.
5. Merchant Responsibilities
5.1 Business Compliance
You are responsible for:
- Obtaining and maintaining all necessary licenses and permits
- Complying with all applicable food safety regulations
- Collecting and remitting applicable taxes
- Maintaining accurate menu information and pricing
- Fulfilling orders in a timely manner
5.2 Content
You retain ownership of content you upload to the Platform. By uploading content, you grant Tabsy a non-exclusive, worldwide, royalty-free license to use, display, and distribute your content in connection with providing our services.
5.3 Customer Service
While Tabsy provides customer support services, you remain responsible for addressing product-related issues, refunds (where applicable), and customer complaints related to your business operations.
6. Prohibited Uses
You agree not to:
- Use the Platform for any illegal purpose or in violation of any laws
- Sell prohibited items (alcohol, tobacco, illegal substances, weapons)
- Misrepresent your business or products
- Interfere with or disrupt the Platform's operation
- Attempt to gain unauthorized access to any part of the Platform
- Use the Platform to transmit malware or harmful code
- Collect or harvest user information without consent
- Engage in fraudulent activities
- Violate intellectual property rights
7. Delivery Services
7.1 Uber Direct Integration
Delivery services are provided through Uber Direct. Tabsy facilitates the connection but is not responsible for delivery performance, delays, or issues caused by courier partners.
7.2 Delivery Zones
You are responsible for configuring accurate delivery zones and ensuring your business can fulfill deliveries within those zones.
8. Intellectual Property
8.1 Tabsy IP
The Platform, including its design, features, functionality, and content, is owned by Tabsy and protected by intellectual property laws. You may not copy, modify, or distribute any part of the Platform without our written consent.
8.2 Merchant IP
You retain ownership of your business name, logo, menu content, and other materials you provide. You represent that you have the right to use and share such materials.
9. Privacy
Your use of the Platform is also governed by our Privacy Policy. By using the Platform, you consent to the collection and use of information as described in our Privacy Policy.
10. Termination
10.1 By You
You may terminate your account at any time by contacting us or using the account settings. Termination does not relieve you of any obligations incurred prior to termination.
10.2 By Us
We may terminate or suspend your account immediately, without prior notice, for any reason, including if you breach these Terms. Upon termination, your right to use the Platform will immediately cease.
10.3 Effect of Termination
Upon termination, your storefront will be unpublished and you will no longer be able to process orders through the Platform. Outstanding payments will be processed according to Stripe's policies.
11. Disclaimer of Warranties
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TABSY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE PLATFORM.
OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE FEES PAID BY YOU TO TABSY IN THE TWELVE MONTHS PRECEDING THE CLAIM.
13. Indemnification
You agree to indemnify, defend, and hold harmless Tabsy and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:
- Your use of the Platform
- Your violation of these Terms
- Your violation of any third-party rights
- Your business operations and products
14. Dispute Resolution
14.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.
14.2 Arbitration
Any dispute arising from these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall be conducted in Delaware.
14.3 Class Action Waiver
You agree to resolve disputes with us on an individual basis and waive the right to participate in class actions or class arbitrations.
15. Changes to Terms
We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on the Platform and updating the "Last updated" date. Your continued use of the Platform after such changes constitutes acceptance of the new Terms.
16. Miscellaneous
16.1 Entire Agreement
These Terms, together with our Privacy Policy and any other agreements referenced herein, constitute the entire agreement between you and Tabsy.
16.2 Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
16.3 Waiver
Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
16.4 Assignment
You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.
